1. About this Schedule

This is the Product Schedule for Google Ads Management under clause 3 of RTEO's Terms of Service ("the Terms"). It applies when your order includes Google Ads Management, and it forms part of your agreement with RTEO together with the Terms, the Data Processing Agreement and the Acceptable Use Policy. Your order for Google Ads Management is normally a proposal signed by you and RTEO. Words defined in the Terms have the same meaning here, and clause 3.3 of the Terms says which document prevails if they conflict.

"Google Ads" means Google's advertising service. Google is not a party to your agreement with RTEO, and Google's own terms apply to the ads and to the payments you make to Google.

2. What RTEO does

2.1 The work. RTEO manages Google Ads advertising for your courses to the scope your order sets. Unless your order says otherwise, that includes:

  • an initial consultation and an advertising strategy for your courses;
  • setting up the Google Ads account under clause 6, and building your campaigns, including keyword research, ad groups and the ads themselves;
  • recommendations for the landing pages your ads send people to;
  • setting up conversion tracking, as clause 7 describes;
  • ongoing monitoring and optimisation of your campaigns; and
  • a monthly report on how your campaigns are performing, including your ad spend, clicks and impressions, and catch-ups as your order sets.

2.2 Setting up. Setting up the account and its campaigns can take up to 14 days after RTEO has the access and information it needs.

2.3 What is not included. Unless your order says otherwise, Google Ads Management does not include content creation beyond ad copy, advertising on any other platform, search engine optimisation, substantial website design or development changes, handling your enquiries or sales, or recovering from a Google policy problem that started before RTEO began managing your advertising. Work your order does not include is quoted first under clause 5.5 of the Terms.

3. What you do

3.1 Accurate information. You give RTEO accurate, current information about your courses, qualifications, prices, funding, entry requirements and intakes, and tell RTEO promptly when any of it changes.

3.2 Approvals and responses. You review and approve the strategy, the ads, and any change to your ad budget when RTEO asks, and you respond to RTEO's questions within a reasonable time. Where approvals or answers are delayed, the work that depends on them may be delayed too.

3.3 Access. You give RTEO the access the work needs, such as access to your Google Analytics property, to any existing Google account needed to set up the service, and to your website or its landing pages so that RTEO can add tracking or make the changes you approve. RTEO uses that access only to provide Google Ads Management.

3.4 Other Google Ads advertising. Tell RTEO if you run, or plan to run, other Google Ads advertising for your courses, because separate campaigns can compete against each other in the same auctions and affect results.

4. Fees, payment and your ad spend

4.1 Fees. Your order sets the setup fee, and the percentage or percentages and the minimum monthly fee that make up the management fee. Fees are exclusive of GST, which is added to them under clause 11 of the Terms.

4.2 Paying by direct debit. You set up a direct debit from your nominated bank account when you sign your order, and RTEO's fees are charged under it, as clause 11.1 of the Terms provides. The setup fee is paid online when you sign your order. Clauses 11.2 and 11.3 of the Terms apply to a failed or overdue payment, including the flat late payment fee of $25, plus any GST that applies, for each failed or late payment, and suspension for non-payment under clause 4.8.

4.3 How the management fee is worked out. The management fee is charged monthly in arrears, for each calendar month. It is the percentage in your order of your ad spend for that month, or the minimum monthly fee in your order if that is more. Where your order sets more than one percentage, each applies to the part of the month's ad spend your order gives it, for example one percentage for ad spend up to a monthly threshold and a higher percentage for ad spend above it. "Ad spend" for a month is the cost of your ads in that month, excluding GST, as the Google Ads account reports it.

4.4 The first month. "Go-live" is the day your campaigns first go live in Google Ads. The calendar month in which go-live falls is a part month. For that month, the minimum monthly fee is pro-rated: it is multiplied by the number of days from go-live to the end of the month and divided by the number of days in the month. The percentage or percentages apply to your actual ad spend in that month.

4.5 Your monthly statement and payment. On the 1st of each month, RTEO emails you a statement showing your ad spend and the management fee for the previous month, and the fee is debited on or after the 2nd. The fee follows your ad spend, so the amount debited varies from month to month, and the direct debit you set up when you sign your order authorises those varying amounts. RTEO gives you at least 30 days' written notice before a change to how the management fee is worked out, such as a change to a percentage, a threshold or the minimum monthly fee, takes effect. Clause 4.6 of the Terms protects the fees your signed order sets for the period it covers.

4.6 You pay Google for your ad spend. The money your ads spend is separate from RTEO's fees. You pay it to Google directly, by adding your own card to the account's billing settings, and Google charges that card. RTEO does not pay, hold, or mark up your ad spend. If Google cannot charge your card, Google may stop your ads, and RTEO will tell you.

4.7 Your ad budget. Your monthly ad budget is set in your order. RTEO changes it only with your approval, and unless both of you agree otherwise, it changes at most once a month. Google may spend more than the daily budget on some days and less on others within its own rules.

4.8 Suspension for non-payment. If an amount is more than one month overdue, RTEO may suspend Google Ads Management under clause 11.3 of the Terms, after giving you written notice and at least 7 days to pay. While the service is suspended, RTEO pauses your campaigns, so that your ad spend stops too, and restarts them once the overdue amount is paid. A suspension is not a pause at your request under clause 5: it does not breach clause 5.1, the management fee still applies to each month of the suspension, so at least the minimum monthly fee is charged for it, and those months count towards the initial term.

5. Pausing your campaigns

5.1 The first 3 months. Your campaigns cannot be paused during the first 3 months after go-live, because about 90 days of data is needed to judge which campaigns, keywords and ads are working.

5.2 Pausing after the first 3 months. After the first 3 months, you may pause your campaigns for any whole calendar month by telling RTEO in writing at least 14 days before that month starts. Your request says which month or months you want paused. RTEO pauses your campaigns at the start of the first paused month and restarts them when the last paused month ends.

5.3 A paused month during the initial term. During the initial term, the management fee still applies to a paused month. Your ad spend stops while your campaigns are paused, so the minimum monthly fee is charged for that month. A paused month counts towards the initial term.

5.4 A paused month when the service is month to month. Once the service is month to month under clause 9.1, a paused month is charged at half the minimum monthly fee.

5.5 Individual campaigns and ads. This clause 5 is about pausing all your campaigns at your request. As part of managing your campaigns, RTEO still adjusts, pauses or stops individual campaigns, ads and keywords, including when your course information changes under clause 3.1 or an ad must stop under clause 8.3. A suspension for non-payment is dealt with under clause 4.8, not this clause 5.

6. The Google Ads account

6.1 RTEO owns the account. RTEO creates and holds the Google Ads account it uses for your advertising. The account, its campaigns, and their structure, including ad groups, keyword lists, bidding and targeting settings, and the methods and processes RTEO uses to build and run them, are RTEO's, under clause 5.2 of the Terms.

6.2 What stays yours. Your course information, your brand, your website and landing pages, and your Google Analytics property stay yours under clause 8.1 of the Terms. The text of your ads is drafted from your course information, and you may reuse that text after the service ends.

6.3 Your view of the account. While the service runs, you have read-only access to the account, so you can see your ads, what they cost, and how they perform, in addition to RTEO's monthly reports.

7. Conversion tracking and data

7.1 Tracking set-up. RTEO sets up conversion tracking so that you can see which ads lead to enquiries and enrolments. That can include adding Google tags and events to your website, landing pages and enrolment forms, and connecting your Google Analytics property and, where it supports it, your student management system.

7.2 Tags on your website. Tags RTEO adds for this service send data to Google and to the Google Ads account RTEO holds. Your website is yours, so you remain responsible for its privacy notice and, where the law requires it, for consent. RTEO tells you which tags it adds and what they collect, so that your notice can describe them.

7.3 Personal information. Where RTEO handles personal information in providing Google Ads Management, including through the account, it does so under the DPA.

8. No guarantee of results, and compliance

8.1 No guarantee of results. RTEO manages your campaigns with due care and skill (clause 13 of the Terms), but it does not guarantee any number of impressions, clicks, enquiries or enrolments, any search position, or any cost per click or per result. Google sets auction prices, decides which ads are shown, and applies its own policies, all outside RTEO's control. The first few months of a campaign are used to gather data and test, so early results are not a guide to later performance.

8.2 Google's policies and decisions. Your ads must comply with Google's advertising policies. Google may disapprove or limit an ad, or restrict or suspend an account, and RTEO is not responsible for Google's decisions. RTEO will tell you when that happens and help you respond.

8.3 Your obligations as a training provider. Your ads must also meet your obligations as a Registered Training Organisation or other education provider, including that claims about courses, qualifications, prices and government funding are accurate. RTEO drafts ads from the information you give it, and you are responsible for the accuracy of the course information you supply and the ads you approve. Clause 8.4 of the Terms applies to anything RTEO drafts, and RTEO will not knowingly run an ad it believes is inaccurate or breaches Google's policies or the law.

9. Term, ending the service, and what you receive

9.1 Term. Your order sets the initial term of Google Ads Management. Unless your order says otherwise, the initial term starts at go-live, and it is a minimum term for the purposes of the Terms. When the initial term ends, the service continues month to month until you or RTEO end it under clause 9.4. If your order sets no initial term, the service is month to month from go-live.

9.2 During the initial term. RTEO may not end Google Ads Management during the initial term on notice for any reason under clause 16.2 of the Terms, but may end it where you have materially breached the Terms as that clause describes. You may end it early under clause 9.3.

9.3 Ending early. You may end Google Ads Management before its initial term ends by telling RTEO in writing and paying an early exit fee of 3 months of the minimum monthly fee in your order, plus GST, or the early exit fee your order states instead. The early exit fee is never more than the minimum monthly fees that would have remained payable for the rest of the initial term. The service ends at the end of the calendar month in which you tell RTEO, as clause 16.1 of the Terms provides.

No early exit fee applies where you end Google Ads Management:

  • because RTEO materially breached this agreement and did not fix the breach within 30 days after you gave RTEO written notice of it;
  • under clause 4.2 of the Terms, because you do not accept a material change;
  • under clause 16.3 (insolvency) or clause 17 (force majeure) of the Terms; or
  • under clause 6.4 of the DPA, after an unresolved objection to a new subprocessor.

9.4 Ending the service after the initial term. After the initial term, or at any time if your order sets none, you can end Google Ads Management by giving RTEO 30 days' written notice, and RTEO may end it under clause 16.2 of the Terms, including on 28 days' notice. It ends at the end of the calendar month in which the notice period ends. Ending Google Ads Management does not end any other product.

9.5 The last month's fee. The management fee for the last month is charged after the service ends, in the same way as for any other month under clause 4.5. If the service ends part way through a calendar month, the minimum monthly fee for that month is pro-rated in the same way as for the first month under clause 4.4, by the number of days the service ran in that month.

9.6 Your ads stop. When the service ends, RTEO pauses the campaigns, so that no further ad spend is charged to your card, and removes your card from the account or helps you remove it. The account and its campaigns stay with RTEO.

9.7 What you receive. For 7 days after the service ends, you keep your read-only access to the account so that you can review its performance. On request, made before the service ends or within a reasonable time after, RTEO gives you copies of your monthly performance reports and of the data it holds about your campaigns' performance, such as cost, clicks, impressions and conversions, together with the text of your ads, in a reasonable format such as a spreadsheet. Your website, landing pages and Google Analytics property stay yours. RTEO tells you which of its tracking tags are on your website, so that you can remove or replace them.

10. Support for Google Ads Management

You can reach support by phoning 1800 MYRTEO (1800 697 836) or emailing support@rteo.com.au, and, when it becomes available in your account, through its support area (clause 12.1 of the Terms). Support covers the campaigns RTEO manages for you, their tracking, and their reporting. It does not cover your payments to Google, or other Google services you hold directly.
